InfraNet HR Terms of Service

Effective Date: May 30, 2026

Welcome to InfraNet HR (“InfraNet,” “we,” “our,” or “us”). By accessing or using our website, software, services, or applications (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old and authorized to enter into agreements on behalf of yourself or your organization to use the Services.

2. Services

InfraNet HR provides workflow, compliance, documentation, case management, and operational continuity tools for organizations. InfraNet is not a law firm, accounting firm, insurance carrier, medical provider, or government agency. Use of the Services does not constitute legal, tax, medical, or regulatory advice. Organizations remain responsible for complying with all applicable laws, regulations, deadlines, filing requirements, and employment obligations.

3. Account Responsibility

You are responsible for maintaining the security of your account credentials, restricting access to authorized users, ensuring information entered into the Services is accurate and lawful, and promptly notifying us of suspected unauthorized access. You are responsible for all activities occurring under your account.

4. Acceptable Use

You agree not to use the Services for unlawful purposes, upload malicious code or harmful content, attempt unauthorized access to systems or data, interfere with the operation or security of the Services, or use the Services to violate applicable privacy or employment laws. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Customer Data

You retain ownership of all data submitted to the Services. By using the Services, you grant InfraNet a limited right to process, store, transmit, and display data solely for the purpose of providing the Services. We do not claim ownership of customer data.

6. Confidentiality

We will use commercially reasonable measures to protect customer information and maintain the confidentiality of data stored within the Services. Customers are responsible for ensuring that only authorized personnel have access to confidential information stored within their accounts.

7. Security

InfraNet implements administrative, technical, and physical safeguards designed to protect customer information. However, no system can guarantee absolute security. Use of the Services is at your own risk.

8. Availability

We strive to provide reliable service but do not guarantee uninterrupted access. Services may be unavailable due to maintenance, updates, system failures, third-party service interruptions, or events beyond our reasonable control.

9. Intellectual Property

All software, branding, logos, designs, documentation, and content provided by InfraNet remain the property of InfraNet HR unless otherwise stated. These Terms do not grant ownership rights to any InfraNet intellectual property.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFRANET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFRANET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL INFRANET’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE CUSTOMER TO INFRANET DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless InfraNet, its owners, officers, employees, contractors, and affiliates from claims arising from your use of the Services, violation of these Terms, violation of applicable laws, or customer data submitted to the Services.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if these Terms are violated, continued access poses security or legal risks, or if required by law.

14. Changes to the Terms

We may update these Terms periodically. Updated Terms will become effective upon posting. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed under the laws of the State of Missouri, without regard to conflict-of-law principles.
